Welcome to Straight Growth. These Terms and Conditions ("Terms") govern your use of our website (https://www.straightgrowth.com and its subdomains) and the marketing, RevOps, HubSpot implementation, and consulting services (collectively, "Services") provided by Straight Growth ("Agency", "we", "us", or "our").

By accessing our website or engaging our Services, you ("Client", "you", or "your") agree to be bound by these Terms. If you do not agree, please do not use our website or services.

1. Scope of Services & Engagements

  • Service Agreements: The specific details, deliverables, timelines, and budgets for any project will be outlined in a separate Statement of Work (SOW) or Service Agreement. These Terms are incorporated by reference into every SOW.
  • Client Cooperation: The success of marketing and CRM implementation projects relies heavily on your timely feedback, approvals, and provision of assets (e.g., brand guidelines, copy, access to HubSpot portals). We are not liable for project delays caused by a lack of client participation or delayed approvals.

2. Intellectual Property (IP) Rights

  • Client Deliverables: Upon receipt of full and final payment, the Client will own the intellectual property rights to the final creative deliverables specifically produced for them (e.g., custom copy, graphics, specific HubSpot email templates).
  • Agency Pre-Existing IP: Straight Growth retains all rights, titles, and interests in our pre-existing materials, proprietary workflows, code, methodology, and generic HubSpot portal architectures used to deliver the Services. We grant you a non-exclusive, non-transferable license to use these elements solely for your internal business purposes.
  • Third-Party Assets: Any stock photography, fonts, or third-party software integrations (including HubSpot licenses) are subject to their respective creators' licensing terms. The Client is responsible for maintaining these active subscriptions.

3. Professional Fees, Billing, and Payments

  • Payment Terms: Unless specified otherwise in your SOW, all invoices are due within 14 days of the invoice date.
  • Retainers & Late Payments: Monthly retainer services are billed in advance. We reserve the right to pause active marketing campaigns, HubSpot portals under our management, or ongoing consulting sessions if invoices remain unpaid past their due date.
  • Out-of-Pocket Expenses: Any direct costs incurred on your behalf (e.g., ad spend, third-party software, paid media budgets) will be pre-approved by the Client and are either billed directly to your credit card or invoiced with a standard markup.

4. Marketing Performance & ROI Disclaimer

Unlike financial investments, modern digital marketing and RevOps rely on external search engines, social media algorithms, and fluid market conditions.

  • No Guarantees: Straight Growth utilizes industry best practices to optimize your marketing and sales funnels. However, we do not guarantee specific lead volumes, search engine rankings, conversion rates, or sales revenue.
  • Platform Changes: We are not responsible for sudden changes in third-party platform policies (e.g., Google core algorithm updates, HubSpot platform pricing, or Meta advertising policy shifts) that may affect campaign performance.

5. Confidentiality & Non-Disclosure

Both parties agree to protect and keep confidential any proprietary business information, client lists, technical data, or financial details shared during the course of our engagement. This obligation survives the termination of any active SOW for a period of three years.

6. Limitation of Liability

To the maximum extent permitted by law, Straight Growth's total liability for any claim arising out of or relating to these Terms or our Services—whether in contract, tort, or otherwise—will not exceed the total amount actually paid by the Client to the Agency during the three months immediately preceding the event giving rise to the claim. We are not liable for any indirect, incidental, or consequential damages (such as lost profits or data loss).

7. Term and Termination

  • Termination for Convenience: Either party may terminate an ongoing monthly retainer service by providing a minimum of 30 days' written notice.
  • Termination for Cause: Either party may terminate the agreement immediately if the other party breaches a material term and fails to cure such breach within 10 business days of receiving written notice.

8. Governing Law

These Terms and any disputes arising out of them shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any legal action or proceeding shall be brought exclusively in the courts of Pune, Maharashtra.
